I am a partner with the law firm of Arcadi Jackson, LLP ("Arcadi Jackson"). Since 1998 I have been a member in good standing of the State Bar of Texas (TSB # 24004718) and have been practicing law in Texas since that time.

Arcadi Jackson was retained in May 2025 to represent HII Mission Technologies Corp. ("HII") in connection with the appointment of a receiver for Cyberlux Corporation (the "Receivership Matter"). I was the lead attorney for HII in Texas pertaining to the Receivership Matter and have supervised or performed the services rendered in the matter. I am the most familiar with the work that was performed by the attorneys and paralegal at Arcadi Jackson on the Receivership Matter. I am also the most familiar with the amounts charged to HII by Arcadi Jackson for the Receivership Matter.

True and correct copies of the monthly invoices and an unbilled time report related to Arcadi Jackson's representation of HII in the Receivership Matter from May 29, 2025 through January 23, 2026 are attached hereto as Exhibit 1 (collectively, the "Invoices").

Although my practice spans state and federal courts across the country, I have practiced primarily in Texas. As such, I am familiar with the attorneys' fees customarily charged in Texas (including

in Dallas and Houston) by attorneys handling state and federal lawsuits and matters of similar complexity. The rates charged by Arcadi Jackson in the Receivership Matter are reasonable.

Multiple proceedings related to Cyberlux's liabilities to its creditors have required HII's time, attention and involvement. Some of those proceedings included cases in Texas. Arcadi Jackson was retained to represent HII and provide counsel as to the Texas proceedings for the Receivership Matter, as well as advise HII on the ramifications of the receiver's actions on litigation in Virginia involving HII, Cyberlux, and others.

Robert Berleth, an interpleader defendant in the instant matter ("Berleth"), was appointed as a receiver in the case of Atlantic Wave Holdings, LLC and Secure Community, LLC v. Cyberlux Corporation and Mark Schmidt, Cause No. 2024-48085, 129th Judicial District Court of Harris County, Texas (the "Atlantic Wave case").

The Atlantic Wave case was filed by Atlantic Wave in Harris County, Texas on July 30, 2024 as a petition to enforce a foreign judgment that Atlantic Wave had been granted against Cyberlux on June 23, 2023 in a case in the Circuit Court of the City of Richmond.

On May 22, 2025 in the Atlantic Wave case, the Harris County trial court entered an order appointing Berleth as a receiver (the "Order Appointing Receiver") for the purpose of assisting in collecting the Atlantic Wave judgment.

Cyberlux objected to the Order Appointing Receiver on multiple bases and filed both a petition for a writ of mandamus (01-25-00455-CV) and an appeal (01-25-00454-CV) with the Texas First Court of Appeals, seeking, among other things, to have the Order Appointing Receiver vacated (collectively, "the Appeals").

Cyberlux's appeal is currently abated, but Cyberlux has filed a motion to have it reinstated. The Texas First Court of Appeals denied Cyberlux's petition for writ of mandamus.

Separately, Tucker et al., other creditors of Cyberlux, filed an action in Harris County, Texas seeking a temporary restraining order and appointment of receiver requesting the court extend the receivership of Berleth to assist with collection of amounts they asserted Cyberlux owed them pursuant to a purchase and sale agreement. The case was removed to the United States District Court for the Southern District of Texas at Tucker v. Cyberlux, No. 4:25-cv-02770 (the "Tucker case"). Thereafter, the Tucker case was transferred to the United States District Court for the Middle District of North Carolina.

Berleth made numerous filings in the Atlantic Wave case, the Appeals and the Tucker case seeking to expand his authority beyond collection of the Atlantic Wave judgment and to supplement the Order Appointing Receiver to effectively provide for a general receivership over Cyberlux. Since being appointed as receiver in May 2025, Berleth has repeatedly sought to gain control of the funds that are the subject of this interpleader case.

All these Texas proceedings required Arcadi Jackson to analyze and advise HII as to HII's interests, rights and obligations with respect to the funds in light of the activities of Cyberlux, Cyberlux's creditors, and Berleth. Arcadi Jackson's services performed in connection with the Receivership Matter included, among other things: 1) reviewing, monitoring and analyzing extensive filings in the Atlantic Wave case and the Appeals; 2) reviewing, monitoring and analyzing filings in the Tucker case while it was pending in Texas; 3) analyzing how developments and potential outcomes in the Atlantic Wave case, the Appeals and the Tucker case while pending in Texas could impact HII's rights and obligations with respect to the funds at issue in this interpleader case; 4) advising on the receivership process under Texas law; 5) corresponding with Cyberlux and its creditors; and 6) monitoring Berleth's actions and corresponding with him as it pertained to the funds at issue in this case.

Arcadi Jackson's fees incurred from May 29, 2025 through January 23, 2026 for the Receivership Matter as reflected in the Invoices totaled $204,442.40 as follows:
